These terms govern your use of www.tolam.in and the TOLAM service, provided by Andril Labs Pvt. Ltd. (“Andril Labs”, “we”, “us”), registered in India at [REGISTERED ADDRESS], CIN [CIN].
1. Acceptance
By using this website or the service you accept these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
2. What TOLAM does
TOLAM connects to business software you already run, analyses the activity recorded there, and produces a daily brief and related findings. It is a layer over your existing systems. It is not an accounting, tax, legal or investment service, and its output is information to inform your judgement — not advice, and not a substitute for your own records or professional counsel.
3. Eligibility
TOLAM is offered for business use to entities and individuals able to enter a contract under Indian law. It is not for personal or household use.
4. Engagements, quotes and payment
- Scope and fees are set out in the proposal or order form we issue and are valid for the period stated there.
- Invoices are payable within [N] days of the invoice date unless agreed otherwise in writing.
- Fees exclude GST and other taxes, which are charged as applicable.
- Third-party costs — the software you already licence, model usage billed by a provider, paid connectors — are yours unless the proposal says we carry them.
- We may suspend the service on written notice if an undisputed invoice remains unpaid past [N] days.
5. Access to your systems
To work, TOLAM needs credentials or authorised access to systems you nominate. You confirm you are entitled to grant that access and that doing so does not breach your agreements with those vendors. You may withdraw access at any time; the service will stop producing results that depend on it. We will request the narrowest permission that does the job, read-only wherever the system supports it.
6. Your data
Your data remains yours. We claim no ownership of it and process it to deliver the service, in line with our Privacy Policy and any data-processing terms we have signed. We do not train models on your data and we do not sell it. On request after the engagement ends we will return or delete your operational data.
7. Acceptable use
Do not use TOLAM to break the law, infringe anyone’s rights, upload material you have no right to, attempt to gain unauthorised access to our systems, resell the service without our written agreement, or reverse-engineer it except where law permits.
8. Intellectual property
The TOLAM software, models, prompts, designs, documentation and brand remain ours. You get a non-exclusive, non-transferable right to use the service for your own business for as long as the engagement runs. Nothing in these terms transfers ownership of anything we bring to the work.
9. Third-party software
TOLAM depends on systems and services operated by others. We are not responsible for their availability, accuracy, pricing or changes to their interfaces. If a vendor changes or withdraws access, we will tell you and adapt where we reasonably can.
10. Availability
We aim to keep the service running and briefs arriving on schedule, but we do not promise uninterrupted or error-free operation unless a written service-level agreement says so. Maintenance is notified in advance where practical.
11. No warranty on findings
TOLAM reports what it reads in your systems. If those systems hold incomplete or wrong data, the brief will reflect that. Findings are provided in good faith, without warranty of accuracy or completeness, and decisions you take on them remain yours.
12. Limitation of liability
To the extent the law allows: neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability arising out of the engagement is limited to the fees you paid us in the [N] months before the event giving rise to the claim. Nothing here limits liability for fraud, wilful misconduct, or anything that cannot be limited under Indian law.
13. Confidentiality
Each of us will keep the other’s non-public information confidential, use it only for the engagement, and protect it with at least the care we use for our own. This survives the end of the engagement.
14. Term and termination
Either party may end the engagement on [N] days’ written notice, or immediately on a material breach the other fails to fix within [N] days of being told. On termination, access to the service stops, fees for work done up to that date fall due, and clause 6 governs your data.
15. Changes to these terms
We may update these terms and will change the date at the top. For clients on a live engagement, changes that materially affect you will be notified directly and will not apply retrospectively.
16. Governing law
These terms are governed by the laws of India. The courts at [CITY] have exclusive jurisdiction.
